1. Main Things
1.1 These terms are made and agreed to between ProHomeMatch.com, CLIENTS, that is, a person who uses this site to find other persons whom we call PROS to work in their homes, other business or personal properties. The word "you" for CLIENTS may be used in some sections below.
1.2 CLIENTS and PROS understand and agree there are no financial or use commitments to either party other than those set forth herein.
1.2.A--our
CLIENTS do not pay for basic services provided by ProHomeMatch.com. Basic services are our PRO referrals from our data base who we think are best for jobs or projects. CLIENTS register at this
form.
1.2.B--our PROS do not pay anything upfront. They pay only a finder's fee after being hired by our CLIENTS. PROS register at this
form.
1.3 PROS are considered, in their broadest sense, including but not limited to, general workers, cleaners, handymen, rehab, specialty and construction experts whom we have verified and have proof of current addresses, telephone numbers and emails. The word "you" for PROS may be used in some sections below.
1.4 We make PRO referrals to CLIENTS based on based on feedback from PROS, previous CLIENT comments and ratings based on finished job quality. We do not publish ratings of a particular PRO but may share them with CLIENTS.
1.5 By accessing or using our services, you agree to comply with and be bound by these Terms of Use for Both CLIENTS and PROS.
1.6 If you do not agree to these Terms of Use, you may not access or use our services. Your completing the registration forms at the CLIENT and PRO links above affirms your agreement to these Terms of Use.
1.7 These terms may change from time to time. It is your responsibility to check these terms periodically, though you will receive an email notice and no changes will obligate you to any financial or use change without your express consent.
1.8 PROS benefit from free and ordered promotions. Your registration means you agree to receive these and other emails relevant to the missions of ProHomeMatch.com.
2. Description of Services for CLIENTS and PROS 2.1.ProHomeMatch.com provides various services through our website for both CLIENTS and PROS. Some of these services are included in these Terms of Use.

2.3 CLIENTS receive referrals of verified service providers (PROS) to work on home and other location projects.
2.2 PRO verification. ProHomeMatch.com "verifies" workers and service providers on two levels.
The two different levels of PRO verification generally includes:
2.2 A. Level 1 verification--verification for service providers who are applying to be listed as PRO in our database. This level verification includes:
1. interview(s) , 2. showing proof of an official home or business address, 3 telephone number and 4. email address. A service provider must have all four to be listed as a PRO in the ProHomeMatch.com database. If for any reason the PRO does not have any of these at the time of applying for membership, the CLIENT will be so informed. This level may include pictures and videos of previous PRO work.
2.2 B. Level 2 verification--in addition to Level 1 verification: we may contact previous employers, references and review of some but not a guarantee of official state and professional records that includes criminal history, lawsuits and insurance records. There is a fee for this level. Official record reviews only apply to the date they were filed. ProHomeMatch.com is not responsible for other information not discovered in any other record nor, again, does ProHomeMatch.com guarantee that all applicable databases from government or organizations are to be searched. We consult with CLIENTS as to the extent of official record search.
3. Services for PROS
3.1 ProHomeMatch.com operates with the guidance of professional marketing, web page design and media producing available to CLIENTS and PROS specifically. There are various promotion services in general for ProHomeMatch.com and for specific PROS.
3.3 ProHomeMatch.com may at times advertise and promote to home owners, home shows, marketing events and other possible hiring sources. No promises, extent of, or guarantees are made regarding jobs assigned to PROS, promotion or advertising of this service nor are their promises of results thereof. Generally, PROS and CLIENTS will be notified of such promotions as appropriate.
3.4 Once a PRO works for a satisfied CLIENT, ProHomeMatch.com keeps that CLIENT informed of that PRO's projects via email every so often for the purpose of keeping that CLIENT in touch with his or her PRO. Further, the PRO can use each individual project as content in individual email promotion to specific geo homeowner areas. In some cases, for PROS ProHomeMatch.com provides free design/media capture and email admin in YouTube.com campaigns.
3.5 PROS can order their own promotions in social media platforms individually or with other PROS as and when such promotions are offered by ProHomeMatch.com. PROS will be notified of such promotions ahead of time via email or text.
3.6 Higher performing PROS can order their own edit pages they can refresh themselves within ProHomeMatch.com and media productions ranging from video, slides, copywriting, art and illustration for use in social media or their pages.
3.7 When a PRO receives 2 good reviews from CLIENTS, the PRO can receive free promotional tools that can include professional studio portraiture, on-site photography and personal business page design.
4. General
4.1 The terms for PROS of this agreement will remain active until PROS inform ProHomeMatch.com via email their wish to be delisted from our database for job referrals.
4.2 CLIENTS may end membership by emailing ProHomeMatch.com not to receive emails.
4.3 ProHomeMatch.com may close any membership without cause or notification.
4.4 PROS are never given contact information of CLIENTS with whom we match to CLIENTS. Rather, CLIENTS are given email addresses or telephone numbers of PROS. CLIENTS must contact PROS.
5. Payments and Fees5.1 Registration for both PRO and CLIENT is free.
5.2 When CLIENTS hire PROS PROS pay a finder's fee of no more than 5% of their gross fee to the CLIENT when the fee is more than $200.01. Otherwise the PRO pays a $10 fee for jobs paying under $200 and $5 for jobs under $100. A PRO pays this fee AFTER accepting the job. There is no set up, registration or "lead" fees or any other fees of any kind.
5.3 We may ask a CLIENT what they paid a PRO in order to calculate our job finder's fee.
5.4 There are no promotion or advertising fees to PROS except those ordered beyond general ProHomeMatch.com promotion activities.
5.5 We may terminate memberships to the site without notice.
5.6 Finder's fees apply for as long as a CLIENT is a member of ProHomeMatch.com.
6. Accounts6.1. In order to access certain services, both CLIENTS and PROS need to create user accounts. CLIENTS and PROS are responsible for maintaining the confidentiality of their respective account information and for all activities that occur under those accounts. There are two types of accounts: CLIENTS (home owners) and PROS (service providers). There are no charges for establishing a member account to either group. You can have both PRO and CLIENT (home owner) accounts.
6.2 We are not obligated to accept everyone to an account. To the contrary, our prime service is providing great service providers for our CLIENTS.
7. User Conduct7.1 This site is for lawful use only.
7.2 No legal violations or infringement on the rights of others.
7.3. No engagement of anything that would normally be considered harmful, offensive, or disruptive.
7.4. You must not: attempt to gain unauthorized access to our services or any other accounts, systems, or networks connected to our services.
8. Intellectual Property Rights8.1 All intellectual property rights, except those that belong to you, including but not limited to copyrights, trademarks, and patents, belong to ProHomeMatch.com or its licensors. You are granted a limited, non-exclusive, and non-transferable license to use our services solely for your personal, commercial use. This means you can link to any of your promotional or advertising pages that may have been created on your behalf. These links may be placed in your social media, web site, third party posts or email.
8.2 All materials we create for you to be used within the pages of ProHomeMatch.com are to remain within those pages unless such materials are designed for general advertising and promotion of your business in other parts of the web.
8.3. You must not reproduce, modify, distribute, or otherwise exploit any content from our services without the prior written consent of ProHomeMatch.com or the respective intellectual property owner.
9. Third-Party Content and Links 9.1. Our services may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or availability of such websites or resources. The inclusion of any links does not imply endorsement or association with the linked website or resource.
9.2. Any reliance on third-party content or use of third-party websites is at your own risk.
Disclaimer of Warranties 8.1. Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.
8.2.ProHomeMatch.com does not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
10. Limitation of Liability10.1 ProHomeMatch.com and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of our services.
11 Indemnification11.1 You agree to indemnify and hold ProHomeMatch.com and its affiliates, officers, directors, employees, and agents free and harmless from and against any claims, liabilities, damages, losses, and expenses, including any attorneys' fees, arising out of or in connection with your use of our services or any violation of these Terms of Use.
12. Governing Law and Jurisdiction12.1. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Tennessee. Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Shelby County.
13 Modifications to Terms of Use13.1. ProHomeMatch.com may modify these Terms of Use at any time without prior notice. Any modifications will be effective immediately upon posting the updated Terms of Use on our website. Your continued use of our services after any modifications constitutes your acceptance of the revised Terms of Use.
13. Depending on your preferences you listed in your Pro signup form and Home Owner form, you agree to receive communications in email or text from us regarding your work order, jobs or administrative notes. If you send back a Do Not Send notice, we will assume you cancelled your account.
14. Severability14.1 If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement15.1. These Terms of Use constitute the entire agreement between you and ProHomeMatch.com regarding your use of our services and supersede all prior agreements and understandings. Please retain a copy of these Terms of Use for your records.
